In this next Sip’N Learn Entrepreneur Mixer, José Padilla, will present on “Venture Capital Fundraising Basics: SAFE, Convertible Note or Preferred Stock” and discuss the important distinctions and options between investments structures that entrepreneurs need to consider when they raise capital from investors. Additionally, he will be discussing general good practices and how-to’s on structuring your fundraising.

With over 20 years of experience as a venture lawyer, José M. Padilla is the founder and managing attorney at Padilla Law PLLC. The firm represents startup companies and investors on general corporate and financing matters. His legal practice includes company formation, employee incentive creation, early stage financings, private equity, acquisitions, commercial and licensing contracts, and general advisory regarding corporate and financing strategy.
Early in his career, he wrote a seminal legal article on washout private equity financings titled “What’s Wrong with a Washout?”. He has been featured multiple times in Hispanic Executive magazine, and he has taught a course on corporate transactions at UNLV’s Boyd School of Law in Las Vegas and currently teaches a course on health law for NYU.
José graduated with honors from Harvard University with an A.B. in Government and obtained his law degree from the University of Pennsylvania Law School.
